Conditions governing the use of vidwire.com and the provision of commercial network cabling infrastructure design and signal transmission logistics services under Nigerian Communications Commission (NCC) engineering standards.
vidwire provides structured cabling design, fiber optic termination, outdoor plant installation, and signal transmission logistics for commercial and telecommunications clients. All services are delivered in accordance with NCC engineering standards and applicable Nigerian telecommunications regulations. The company does not provide internet access, voice services, or end-user connectivity.
The client must provide accurate site information, access to premises during working hours, and a safe working environment. The client is responsible for obtaining any necessary permits or approvals from building owners or local authorities. Failure to provide access or accurate information may result in project delays for which vidwire is not liable.
vidwire’s liability for any claim arising from the services is limited to the total amount paid by the client for the specific project giving rise to the claim. vidwire is not liable for indirect, incidental, or consequential damages, including but not limited to loss of data, loss of revenue, or interruption of business operations, even if advised of the possibility of such damages. This limitation applies to the fullest extent permitted by Nigerian law.
All designs, drawings, specifications, and documentation prepared by vidwire remain the intellectual property of vidwire until full payment is received. Upon payment, the client receives a non-exclusive, non-transferable license to use the deliverables for the intended project. vidwire retains the right to use project details (excluding confidential information) for portfolio and marketing purposes.
Either party may terminate a project with seven days’ written notice if the other party materially breaches the terms and fails to remedy the breach within that period. Upon termination, the client must pay for all work completed up to the termination date. vidwire may suspend services immediately if the client fails to make payment when due.
vidwire may update these terms at any time. Changes will be posted on this page and take effect 14 days after posting. Continued use of the site or services after that date constitutes acceptance of the updated terms. Clients with active projects will be notified directly of any changes that affect their project.
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these terms or the services shall first be resolved through negotiation. If negotiation fails, the dispute shall be referred to mediation at the Lagos Multi-Door Courthouse. If mediation is unsuccessful, the dispute shall be resolved by the High Court of Lagos State.
